This application is part of a suite of products offered by Lions Care, which also includes the Lions Care Card and other associated features, all aimed at delivering aid to those who need it most.
Before you begin using our services, we kindly request that you read through these terms and conditions (“Terms” or “Agreement”). This Agreement outlines the rules and regulations that govern your access to and use of our products. It is crucial that you understand these Terms as they form a legally binding contract between you and Lions Care.
By registering for the Lions Care App, you are not just signing up for an application; you are becoming part of a community dedicated to helping those in need. However, this also means that you are agreeing to abide by the terms of this Agreement. Your registration signifies your acceptance of these Terms and your commitment to comply with them.
1.2 Within these Terms and Conditions, the terms “Ziaplex Inc.”, "Lions Care," "we," "us," and "our" pertain to Ziaplex Inc., encompassing its staff, directors, affiliated entities, successors, and assignees.
1.3. The terms "you" and "your" are used to designate individuals who utilize the Service, including Account Holders, Cardholders, Senders, Recipients, and other relevant users of the Service.
1.4. These Terms and Conditions take effect, become valid, and hold legal weight when you agree to them or begin using any of the Services. They will continue to be in effect until either you or we decide to terminate them, except for certain provisions explicitly identified in this document, as well as any provisions mandated by law, regulations, or rules, which will endure even after termination.

2.1. Lions Care App - a project of “Lions Club” that provides financial aid to individuals and families in need can make a significant difference in their lives and contribute to the overall well-being of the community. Organizations like "Lions Club" play a vital role in addressing various financial challenges that people may face, such as medical expenses, educational needs, food, and more.
2.2. Account Holder / Lions care User / Registered User – refers to a person who has registered for the service and has provided their name and other personal information on the online platform. The account holder is also known as the principal account holder, which means they are the main user of the service and have full control over their account.
2.3. Card – refers to the Lions Care Card used for attendance for the event, track their arrival, receive points or donations, and use to post a billing statement to seek a donation. The Card also serves as an identification for the individual, and it can be used to access other benefits and privileges offered by the service. The Card is also referred to as the Principal Account Holder, since it is linked to the individual’s personal information and preferences.
2.5. Top up Points - allows Account Holder to transfer a certain amount using their own wallet or group wallet to another account holder's or organization's account, often as a form of assistance or support. For instance, it can be used to contribute to a friend's fundraising campaign, donate to a non-profit organization, or send financial aid to a family member.
2.6. Send Points – refers to a payment method that allows customers to pay for goods and services from partnered merchants. The payment process involves scanning a QR code displayed by the merchant using a mobile device, which then directs the customer to a payment gateway where they can complete the transaction.
2.7. Scan2pay – refers to a payment method that allows customers to pay for goods and services from partnered merchants. The payment process invulves scanning a QR code displayed by the merchant using a mobile device, which then directs the customer to a payment gateway where they can complete the transaction.
2.7. Join Groups – enables users to become a part of various organizations, communities, or even family groups, all with the common purpose of facilitating and streamlining the process of seeking donations. By joining these groups, individuals can leverage the collective strength of these communities to raise funds for various causes, projects, or charitable endeavors.
2.8. Group Rules – refer to the different positions or titles assigned to members of an organization, community, or family group. These roles are typically divided into three categories: admin, co-admin, and member.
Admin has the highest level of control and can perform all actions within the group, including inviting, adding or removing members, managing content, changing group settings, approved/decline assistance, send points, promote a member to co-admin.
A Co-Admin has similar permissions to an admin but with some limitations. They can perform most actions within the group but cannot transfer ownership of the group.
A Member has the least amount of control and can only perform basic actions such as viewing content and posting a request assistance.
2.9. Verify Account – refers to the process of verifying the identity of a user by requesting them to provide valid identification documents and proof of address. These documents serve as a means of confirming the user's true identity of the Account Holder. By requiring users to submit valid identification and proof of address documents, it safeguards against fraudulent activities and identity theft, while also fostering a sense of trust and confidence among the platform's users.
2.10. OTP – refers to generated one-time-pin code which sent to a user's registered mobile phone number or email address to confirm their identity during account activation.
2.11. KYC - short for Know-Your-Customer, refers to the process of identifying and verifying the true and complete identity of user. KYC procedures play a pivotal role in verifying the authenticity of customers and in detecting potential involvement in illicit activities such as money laundering and terrorist financing.
2.12. Request badge - refers to a feature that allows users to request specific badges such as “Influencer”, “Public Servant”, and “Non-Profit Organization”. These badges serve as identifiers or markers that highlight the user’s role or status within the community.
Influencer Badge: This badge is typically requested by users who have a significant following or influence in their respective fields. They could be popular figures in various domains like entertainment, sports, business, or any other area where they have a substantial impact.
Public Official Badge: This badge is requested by users who are involved in public service roles. These could include individuals working in government agencies, public health organizations, law enforcement, education, and other similar sectors
Non-Profit Organization Badge: This badge is for users who represent non-profit organizations. These organizations operate for the benefit of the public and do not seek to make a profit
The process of requesting a badge usually involves submitting relevant information or documents for verification. Once the user’s status is verified by the platform’s administrators, the requested badge is added to their profile. This helps in increasing the credibility of the user and provides other users with a clear understanding of their role or status.
2.13. Bulletin - refers to a dedicated space within the platform where all assistance requests are posted. It functions as a public noticeboard, displaying the various requests for assistance made by users of the platform. Each post on the Bulletin typically includes details about the user making the request, the nature of the assistance needed, and any additional information that might be relevant. This could range from financial aid for medical expenses, support for educational costs, help with daily necessities, and more.
The Bulletin is designed to be easily accessible and visible to all users of the platform. This ensures that assistance requests reach a wide audience, increasing the chances of users receiving the help they need.
Furthermore, the Bulletin promotes transparency and fosters a sense of community among users. It allows users to understand the needs within their community better and provides them with opportunities to offer help where they can.
2.112. Profile Details - refers to a specific section within a platform where all the personal information provided by a user is displayed. This typically includes details such as the user’s name, contact information, location, and any other personal details they have chosen to share.
2.113. Notifications - refers to a feature within the platform that keeps users updated about various activities related to their account. This is where all the updates, such as sending of points, receiving of points, and group-related notifications are posted. These notifications serve as an essential communication tool within the platform. They ensure that users are always informed about important updates and activities. This way, users can stay engaged and responsive, enhancing their overall experience on the platform.
2.114. Group Wallet - is a feature where all donations within a group are recorded and displayed, providing a transparent and efficient way to manage and track donations. It records details such as the amount, date of donation, and the donating member. It also tracks when donations are used or distributed. The Group Wallet promotes transparency, accountability, and community engagement by allowing members to see how donations are collected, used, and how their contributions support the group’s goals.
2.115. Assistance Request - is a feature on the platform that allows members to post their needs, ranging from financial aid to educational support and medical help. Members provide details about their needs, reasons, and ways others can help, which are visible to all platform members. This feature serves as a platform for voicing needs, fostering community spirit by enabling assistance from others, and promoting transparency and trust by making all requests visible.
2.116. For Donations – refers to the process of requesting donations directly from a specific group, organization, or family group.
2.117. Transaction History - it provides a comprehensive record of a user’s financial activities, including sending and receiving points to their wallet. Each transaction is recorded with details such as the number of points, date and time, and the other party involved. This feature allows users to track their points usage, promotes transparency and accountability with a verifiable record, and aids in resolving disputes or misunderstandings by providing a factual record of transactions.
2.118. Billing Statement - refers to the details about the service provided, billing period, total amount due, and payment terms. This statement serves as a request for payment and plays a crucial role in financial transactions. It ensures transparency, raise funds, and help patients/beneficiaries to cover the costs of medical treatment.
3. General Terms of Service
3.1. To be eligible for registration, individuals must be at least thirteen (13) years of age. This age limit is consistent with industry standards and legal requirements aimed at safeguarding the well-being of young users in the online environment. It reflects our commitment to providing a secure and responsible platform for our community.
However, we also understand that there may be potential users below the age of thirteen (13) but older than six (6) who wish to participate in our services. In these cases, we've implemented a necessary precaution: parental consent or consent from a legal guardian is mandatory. This consent requirement serves as an additional protective measure, ensuring that any involvement by a minor on our platform aligns with the intentions and guidance of their parents or legal guardians. It's a vital step towards maintaining the safety and integrity of our online community.
We acknowledge that there might be instances where a minor, falling within this age bracket, has provided us with their Personal Data without obtaining the required consent from their guardian. To address such situations, we've made it simple for guardians to take action. They can reach out to us via www.lionscare.ph to request the removal of the minor's information from our platform.
3.2. Ziaplex Inc. reserves the right to terminate any or all aspects of the Lions Care Service at any given time.
3.3. You are permitted to utilize the Lions Care Service only in compliance with these Terms & Conditions and the entirety of the Agreement (which may undergo amendments periodically).
3.4. Any notices that you are required to give Ziaplex Inc. under this agreement should be sent to the email address published on the Lions Care app or Lions Care website (www.lionscare.ph). We, on the other hand, , will deliver any required notices to you as specified in this Agreement, either via the email address you provided during registration or by notifying you of any changes the next time you access the Lions Care app, and/or by posting notices on the Lions Care website.
3.5. We have the authority to transfer our rights and duties under this Agreement to another organization. However, this will not affect your rights or Ziaplex Inc. obligations under this agreement. We will provide you with advance notice whenever feasible.
3.6. This agreement is between you and Ziaplex Inc. No third party has the authority to enforce any of its provisions. It's important to be aware that the Wallet functionality is offered by Ziaplex Inc., and it is subject to Ziaplex Inc.'s terms and conditions.
3.7. Any clause in this agreement is deemed unenforceable or invalid, it will not affect the enforceability or validity of any other clause. If any clause is deemed unenforceable or invalid, it will be will be considered removed to the extent of its unenforceability and invalidity. Hence, this agreement will be construed and upheld as if it did not contain the said clause only to the extent necessary to make this agreement enforceable and valid.
3.8. This Agreement constitutes the entire agreement and understanding between the parties involved to this Agreement, and supersedes all prior and contemporaneous negotiations and understandings between the parties, whether oral or written, expressed or implied.
3.9. This Agreement serves as the comprehensive agreement and exclusive statement of the agreement between the parties involved, and it overrides any prior or concurrent negotiations and understandings between the parties, whether communicated verbally or in writing, and regardless of whether they were explicit or implied.
3.10. We cannot be held accountable for any inability or delay in delivering the Lions Care Service when it can be reasonably attributed to factors beyond our control. These factors may include issues like the performance of public communications networks, congestion, connectivity problems, the performance of your device, or other equipment, and unforeseeable events such as severe weather conditions or technical malfunctions (even if they result from the actions of hackers), which could disrupt our operations despite our reasonable efforts to prevent and address such issues.
3.11. We will try and solve any disagreements quickly and efficiently. If you are not agree with the way we deal with any disagreement you and we may agree to refer the matter to arbitration but you and we are not restricted from bringing court proceedings in United States, where the terms herein shall be governed by, and construed in accordance with, United States law
3.12. We will make every effort to promptly and effectively resolve any disputes that may arise. If you are dissatisfied with how we handle a disagreement. However, this does not preclude either party from initiating legal proceedings in the Philippines, where the terms of this Agreement will be subject to and interpreted in accordance with Philippines law.
4. Your Obligations
4.1. By accepting this Agreement, you provide us with a non-exclusive, royalty-free, perpetual, and irrevocable license, without any associated charges, to exercise all current and future rights (including intellectual property and related rights). These rights encompass various actions, including using, processing, reproducing, modifying, adapting, publishing, distributing, selling, creating derivative works from, translating, and displaying your User Messages or any content you post, share, or exchange on the Lions Care Service. This license is necessary for us to operate the Lions Care Services, facilitate your ability to send and receive User Messages, share or trade content, and serve any other legitimate purposes as determined by Ziaplex Inc.
4.2. . You agree to refraining from making any changes or modifications to the Services without obtaining Ziaplex Inc. prior written consent. Furthermore, you pledge not to engage in any commercial use of the Services unless you have obtained prior written authorization from Ziaplex Inc..
4.3. You commit to refraining from utilizing any "deep-linking," "page-scraping," "robots," "spiders," or any other automated tools, programs, algorithms, or techniques, or any similar manual processes, to access, collect, replicate, or monitor any portion of the Services. This also includes avoiding actions that reproduce or bypass its navigational structure or presentation, and any attempt to acquire material, documents, or information through means not intentionally provided by the Services.
4.4. You agree not to gain or attempt unauthorized access to any segment or functionality of the Services, or any other system or network linked to the Services. Furthermore, you agree not to collect, harvest, or otherwise accumulate information about individuals using the Services without their explicit informed consent. You also commit not to hinder, impede, or prohibit any other users from using the Services. This includes, but is not limited to, actions that may discourage others from using the Services, such as stalking, incendiary comments, unsolicited information, advertising, or content, sending repetitive messages, using insulting or deliberately divisive information, material, or content (commonly known as trolling), or other disruptive behaviors of similar nature.
4.5. You commit to not bypass, deactivate, or in any way disrupt security features within the Lions Care Services. This includes features designed to prevent or limit the use or duplication of any content, materials, or information accessible through the Lions Care Services, as well as features that impose restrictions on how the Lions Care Services can be utilized.
4.6. You agree not to engage in any attempts to probe, scan, or test the vulnerability of the Services or any affiliated network, and you agree not to breach their security or authentication measures. Additionally, you agree not to perform reverse look-ups, trace, or attempt to trace any information pertaining to other users of the Services, including accounts not under your ownership. Furthermore, you agree not to exploit the Services or any information provided through the Services for the purpose of uncovering information, including but not limited to personal identification, that does not belong to you.
4.7. You agree to use or access the Lions Care Services solely for your personal information and as intended through the provided features of the Lions Care Services. You also agree not to replicate or download any materials or content from the Lions Care Services, unless there is a visible and explicit permission, such as a "download" button or a similar clearly displayed link. Furthermore, you pledge not to involve, or attempt to engage in, activities like using, copying, transmitting, broadcasting, displaying, distributing, or selling any of the content, materials, or information available through the Lions Care Services, including user comments and similar content, unless expressly allowed in this agreement or explicitly indicated in the Lions Care Services, including use for commercial purposes.
4.8. You agree to the following responsibilities; (a) genuine, accurate, current, and comprehensive proof of your identity and ensuring prompt updates to your personal information when it changes; (b) providing any identity documentation requested by us.; (c) providing with accurate, current, and complete information, as indicated on the website, for receiving the Lions Care Service; (d) provide any other information necessary for the proper execution of the Lions Care Service, as specified during the entry of Lions Care Service details. Furthermore, you agree not to hide your true name or adopt a fictitious identity. Failure to comply may result in Ziaplex Inc. pursuing legal action against you for violating Philippine penal laws, including the Anti-Alias Law, among others.
4.9. Once you confirm the Transaction or request Lions Care to proceed with it, you acknowledge that you cannot cancel or reverse the transaction. Lions Care will proceed to credit the Beneficiary's account, and once the money or funds is in the Beneficiary's account, Lions Care cannot reverse or deduct funds without the appropriate court order or authorization.
4.10. You accept the responsibility of checking for updates and agree to download these updates for the Lions Care App prior to using it. It's important for you to be aware that Lions Care may disable or make certain functions unavailable in the app if you do not complete the necessary updates.
4.11. LIONS CARE USER CONSENT
4.12. You acknowledge and accept full responsibility for any User Content you generate, upload, transmit, or showcase when utilizing the Services, relieving Ziaplex Inc. of any liability towards you or any third party. You also agree to assume complete responsibility for the outcomes of your activities and interactions on the Lions Care Services and acknowledge your liability to Ziaplex Inc. for any losses or damages that Ziaplex Inc. may incur as a result of your proper or improper use of the Services.
4.13. You agree not to distribute, generate, upload, send, or exhibit any User Content through the Services that is currently protected or may be protected by copyright, patent, trade secret, trademark, trade name, service mark, or any other proprietary rights, including privacy and publicity rights, unless you possess the essential licenses, rights, consents, and permissions to employ such User Content and grant Ziaplex Inc. the authorization to utilize any or all User Content that you produce, upload, send, or present via the Lions Care Services.
4.14. You are in agreement not to utilize the Services for sharing, generating, uploading, transmitting, or exhibiting any material, information, or User Content that falls into the following categories;
Violates the intellectual property, privacy, or publicity rights of any third party
Contains knowingly false, defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, indecent, pornographic, profane, threatening, racist, gruesome, or otherwise offensive content that contravenes public morals or legal regulations.
Includes viruses, Trojan horses, worms, time bombs, bots, malware, or any computer program, code, or routine designed to harm, interfere with, secretly intercept, or expropriate systems, data, or personal information.
Engages in pyramid schemes, Ponzi schemes, or other harmful activities.
Initiates or forwards chain letters.
Organizes or assists in conducting surveys, contests, petitions, or similar activities using the Services, unless the Services is explicitly designed and provided for such purposes.
4.15. You declare, guarantee, and assert that you either own the necessary licenses, rights, consents, and permissions or have the legal authority to employ and authorize Lions Care to use, adapt, modify, translate, publish, publicly perform, publicly display, distribute, or transmit over public networks and through various media any or all of the User Content you produce, upload, transmit, or display via the Services. By doing so, you grant Lions Care an everlasting, irrevocable, global, royalty-free, and non-exclusive right, license, consent, and permission to employ, adapt, modify, translate, publish, publicly perform, publicly display, distribute, or transmit your User Content as deemed necessary by Lions Care. This includes the option to provide your User Content to a third party in accordance with legal requirements, rules, or regulations, or to make it available for use, reproduction, adaptation, modification, translation, publication, public performance, public display, distribution, or transmission by any third party. Additionally, you hereby unconditionally agree, confirm, and assure that you will absolve Lions Care from any form of liability, whether in the realm of equity or law, arising or that might arise due to Lions Care's use of your User Content or a third party's use of your User Content, facilitated by Lions Care.
4.16. You consent to save your password in an encrypted format on both your device and our servers. This encryption method conceals your password on our server while enabling us to verify your identity when you log into the Lions Care Services.
4.17. You acknowledge that when providing your personal information for the purpose of using the Service, you are explicitly granting consent for the processing of the provided personal information to establish and manage your account. This consent encompasses permission for Lions Care to share, exchange, or release this information to its partners, affiliates, subsidiaries, officers, employees, agents, legal representatives, and other advisors or as mandated by applicable laws, rules, or regulations.
4.18. PROPRIETARY RIGHTS
4.19. You acknowledge and agree that Ziaplex Inc. holds and maintains all proprietary rights to the Services. You also recognize and agree that all the content, materials, and information available within or through the Services, encompassing items such as text, graphics, user interfaces, visual elements, photos, trademarks, logos, sounds, music, artwork, computer code, design, structure, selection, arrangement, expression, "look and feel," are either owned, controlled, or licensed by Ziaplex Inc. These elements are safeguarded by trade dress, copyright, patent, trademark, and a variety of other intellectual property rights and laws pertaining to fair competition. Additionally, you acknowledge that the Services may encompass confidential information as designated by Ziaplex Inc., and you commit not to disclose such information without obtaining prior written consent from Ziaplex Inc.
4.20. You acknowledge, understand, and consent to the possibility of additional terms and conditions being associated with the purchase of goods or services and specific parts or functionalities within the Services. These additional terms are considered integral to these Terms by virtue of this reference. You commit to complying with these supplementary terms and conditions, and, where applicable, affirm that you meet the legal age requirement to utilize or engage in such services or features.Should a conflict arise between these Terms and the terms applicable to a particular section of the Services, the latter terms shall take precedence in relation to your utilization of that specific segment of the Services. Ziaplex Inc., obligations, if any, regarding its products and services are exclusively regulated by the agreements governing their provision, and these Terms should not be interpreted as modifying such agreements in any way.
4.21. TRADEMARK INFORMATION. The ownership of all trademarks, trade names, service marks, and service names belongs to their respective holders.
5. User Representation and Warranties
5.1. When you access or utilize the Services, you are indicating your acceptance of these Terms. Additionally, you acknowledge, affirm, and guarantee that no agency, partnership, joint venture, employer-employee, licensor-licensee, or franchisorfranchisee relationship exists or will exist between Ziaplex Inc. and you.
5.2. You affirm the accuracy and truthfulness of all the information you have provided to Lions Care. Additionally, you commit to promptly notifying Lions Care of any changes in your circumstances that may impact the information you have provided, with such updates to be communicated within fifteen (15) days from the occurrence of the relevant change.
5.3. You declare and represent that you do not have or are not using other Lions Care Accounts with similar characteristics and profiles for conducting transactions or accessing the Services. It is your responsibility to disclose any other accounts you may have to Lions Care, and you grant Lions Care the authority to take necessary actions, which may include suspending or closing the other accounts, to ensure that you possess and utilize only one Lions Care Account for service utilization. Furthermore, when initiating transactions through your account, you assert, guarantee, and pledge that you, and no other individuals or entities, will input the requisite information as guided by the Services and carry out the transaction to completion, unless you duly authorize other individuals or entities to perform transactions on your behalf, provided that valid and legal proof of authorization.
5.4. By visiting and/or utilizing the Services, you acknowledge, affirm, and guarantee that you are aware that while using them, you may encounter content, materials, or information from various sources. Ziaplex Inc. is not accountable for the accuracy, utility, safety, comprehensiveness, or intellectual property rights of any content, materials, or information, whether user-generated, submitted, or otherwise, including those that may be linked to such content, materials, or information.
5.5. You recognize and acknowledge that Ziaplex Inc. may have, or may introduce additional features and partnerships with other entities. As a result, you may encounter content that could potentially infringe upon your intellectual property rights or those of your authorized representative, content that could violate your privacy and/or publicity rights, or content that is knowingly false, defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, indecent, pornographic, profane, threatening, racist, gruesome, objectionable, offensive to public morals, invasive of someone else's privacy, or otherwise in violation of any rule, regulation, or law. Moreover, this content may contain viruses, Trojan horses, worms, time bombs, bots, malware, or any computer program, code, or routine intended to damage, disrupt, intercept, or expropriate systems, data, or personal information. You engage with this content at your own risk, and you hereby agree that Ziaplex Inc. bears no responsibility, liability, or accountability for any of the aforementioned issues. You also consent to indemnify and absolve Ziaplex Inc. to the maximum extent permitted by law concerning all matters associated with or arising from your use of the Services.
5.6. You acknowledge that any User Content you generate, upload, send, or showcase while using Lions Care Services might potentially become publicly accessible, whether or not such exposure is intended by you or by Ziapelx Inc. You also admit and accept full responsibility for any consequences that may arise from the use, whether authorized or otherwise, of any materials, information, or content that you generate, upload, send, or display using Lions Care Services. By accessing and using Lions Care Services, you hereby declare, acknowledge, and affirm that you will not hold Ziaplex Inc. liable under any legal or equitable grounds, including any unauthorized or unlawful utilization of such content by a third party, as a result of your disclosure of information, including personal details, passwords, or transaction-generating codes associated with your Lions Care Account, whether disclosed voluntarily or involuntarily.
5.7. You also understand that you have the option to discontinue using the Services at your own discretion by either ceasing to use the Services or formally notifying Ziaplex Inc. of your intent to terminate your account. Closing your account with the Services does not eliminate, invalidate, revoke, or otherwise alter any legal responsibilities and liabilities you may have assumed or may still incur related to your use of the Services. Provisions within these Terms and Conditions that pertain to actions taken prior to the termination will continue to be in effect even after you have closed your account
6. Reserve Rights
6.1. You acknowledge and consent that Ziaplex Inc. has the unrestricted right, but not the obligation, to deny or cease the Services or any part thereof to anyone, at any moment, either temporarily or permanently, without providing any reason or prior notice. You unconditionally agree and assure to absolve Ziaplex Inc. from any responsibility, under both equity and law, that arises or may arise from such denial of access or discontinuation of the Services.
6.2. You acknowledge and consent that Ziaplex Inc. has the unrestricted right, but not the obligation, to gather, examine, flag, filter, alter, block, deny or eliminate any and all data provided by any user, either directly or indirectly. This includes but is not limited to hardware details, IP address, browser-related information, cookies and similar data. You unconditionally agree and guarantee to absolve Ziaplex Inc. from any responsibility, under both equity and law, that arises or may arise from such gathering, examination, flagging, filtering, alteration, blocking, denial or elimination of any and all data provided by any user via the Services.
6.3. By agreeing to this statement, you acknowledge and consent to the fact that Ziaplex Inc. holds the exclusive right, though not the obligation, to upgrade, refine, and bring new features and functionalities to the Services whenever they deem fit, and they can do so without giving you any prior notice. You also understand and agree that any such upgrades, refinements, new features, and/or functionalities added to the Services will be considered as part of the Services as originally defined. Consequently, these additions will also be governed by these Terms and any future modifications or amendments to them, as applicable.
6.4. Ziaplex Inc. has the exclusive right, though not the obligation, to send you service updates and/or messages. These could be in the form of SMS, notifications, emails, or any other form of data message transmission. These messages may inform you about enhancements, improvements, developments, features, functionalities, products, promotions, offers, advertisements, or any other information related to the Services and Ziaplex Inc.
Ziaplex Inc. does not provide any kind of warranty, whether explicit or implicit, for these service updates and/or messages. By agreeing to this, you consent to receive such service updates and/or messages. Furthermore, you agree not to hold Ziaplex Inc. liable or seek indemnification or damages for any issues that may arise from these updates or messages.
6.5. You acknowledge and agree that Ziaplex Inc. has the exclusive right to establish limits and impose fees and applicable taxes for the use of the Services. They can exercise this right at any time, provided they give prior notice.
Furthermore, you understand and agree that Ziaplex Inc., at its sole discretion and without any obligation, reserves the right to modify the fees, taxes, and charges applied for the use of the Services. They can do this at any time, but they will provide you with a written notice thirty (30) days before the changes in fees, charges, or penalties take effect.
6.6. You acknowledge and agree that Ziaplex Inc. has the right to hold back or offset transactions or benefits if they suspect or confirm that your Account/Card has been compromised or is fraudulent, or if they suspect or confirm that you are misusing or exploiting the Services. Moreover, you irrevocably authorize us as your legal representative, with full authority and without prior notice, to offset or apply any funds that you, Ziaplex Inc., or its subsidiaries and affiliates have deposited or placed in your wallet or any account with us, which we may possess or control. This includes but is not limited to money added to your Lions Care Account. These funds can be used to pay your obligations, which may arise from overdrafts, or if there is reasonable evidence that the money was placed through exploiting Lions Care’s promotions, or unused amounts to be used up in accordance with Lions Care’s promotions, or other such cases deemed as exploitation or misuse of Ziaplex Inc.’s products and services.
6.7. You acknowledge and agree that Ziaplex Inc. has the exclusive right, though not the obligation, to alter, adjust, or revise these Terms. These changes will take effect immediately upon notification. You understand, agree, and affirm that it is your sole responsibility to stay informed about any such alterations, adjustments, or revisions. These changes will be implemented immediately upon their publication in the same manner as these original Terms were published, or upon their availability through the Services. These changes will apply to you as soon as you use or access the Services, regardless of whether you are already aware of such alterations, adjustments, or revisions.
6.8. Ziaplex Inc. has the exclusive right, though not the obligation, to restrict the provision, availability, quantity, and quality of any feature, product, or service to any individual or to anyone within a specific geographic area, demographic profile, or any other market, commercial, and/or trading segments. In addition, you understand and agree that Ziaplex Inc. has the right, at its sole discretion and without obligation, to manage and operate any and/or all of the Services from one or multiple locations outside the Republic of the Philippines. You also understand and agree that not all features, products, or services discussed, referenced, provided or offered through or in the Services are accessible to all individuals or in all geographic locations. They may not be suitable or available for use outside the Republic of the Philippines. Any part or the entirety of the Services or these Terms are null and void where they are prohibited. By agreeing to this statement, you acknowledge and accept that you are solely responsible for your continued access to or use of the Services. You also accept responsibility for the outcomes or consequences of such access and use. This includes complying with applicable local laws and accepting sole liability for any non-compliance or violation of these laws.
7. Third Party Content and Services
7.1. The Services include content sourced from third-party services and resources. You recognize and consent that we bear no responsibility or liability for the availability, accuracy, suitability, completeness, or non-infringement of these Third-Party Services, nor for the content, products, or services accessible through them. The presence of these Third-Party services does not signify our endorsement of these services or the content, products, or services offered through them.
7.2. You are prohibited from eliminating, modifying, or concealing any copyright, trademark, service mark, or other proprietary rights notifications found within or accompanying the application and its services or within any Third-Party Services.
7.3. Ziaplex Inc. does not provide any representations or warranties regarding any services, content, and/or other resources offered by Third Parties.
8. Cash In
8.1. Cash In pertains to an account holder's capability to add points to their Lions Care Account through authorized channels. Channels are the entities through which your Lions Care Account can be loaded.
8.2. The Lions Care App Checkout Page or Website provides a list of these Channels. Instructions on how to complete a Cash In transaction through each Channel are provided during the transaction process. Ziaplex Inc. maintains the right to add or remove Channels within this feature at any time, without prior notification to the account holder.
8.3. Lions Care will accept all the information provided by the account holder as accurate and valid once a transaction is mutually accepted by the Channel and Lions Care, and this information will serve as a conclusive record against the account holder.
8.4. Ziaplex Inc. is authorized to implement security measures for Cash In usage, including, but not limited to, setting restrictions on the number of attempts, daily or periodic transaction limits, along with other security measures aimed at safeguarding the account holder's Cash In transactions. Nevertheless, the account holder is responsible for ensuring the security of their Cash In transactions and shall hold Ziaplex Inc. from any liabilities arising from theft or errors in the money transfer process.
9. Inactivity and Dormacy
9.1. An account considered as inactive when it meets any of the subsequent conditions:
9.2. An account is considered as inactive if it lacks any financial transactions initiated by the account holder for one year from the date of the last transaction, even after receiving reminders from Ziaplex Inc.
9.3. The account remains unrenewed or unterminated for any cause, and the account holder does not make a claim on the funds in the account for an equivalent duration.
10. SMS – Short Message Services and Phone Messaging
10.1. We reserve the right to send SMS notifications pertaining to transactions. Subsequent to receiving a transaction request, we will furnish you with the essential information that allows you to recognize the transaction. This information will encompass the transaction's amount in the currency specified in the transaction request, as well as the date when the transaction request was received.
10.2. The information provided in the SMS/Text confirmation message following each transaction, as well as the entries in the Statement of Transactions for the Lions Care Account, are considered accurate and valid unless you submit a written dispute to the Service Ziaplex Inc. Hotline within fifteen (15) days from the transaction date. In the absence of any dispute reported within this timeframe, all transactions and entries will be considered accurate and valid. Only once a claim or dispute has been appropriately processed and investigated, and determined to be in favor of the Account Holder, will disputed transactions be credited back. If a sales slip is retrieved at the request of the Account Holder or by Ziaplex Inc. due to an invalid dispute, the Account Holder will be responsible for the associated processing fee.
10.3. The Account Holder is required to follow and adhere to the instructions and procedures provided by Ziaplex Inc. when utilizing SMS and/or Messages. The Account Holder relinquishes any claims, recourse, or remedies against Ziaplex Inc. for losses, damages, or expenses resulting from failure to comply with these instructions and procedures.
10.4. Ziaplex Inc. reserves the right to make modifications to SMS and/or Messages, suspend or terminate SMS and/or Messages, and adjust SMS and/or Messages at any moment based on its exclusive and unrestricted judgment, without the need to provide a specific rationale, and without affecting any of its rights to take action in response to any prior breach of these terms and conditions by an Account Holder.
10.5. To discontinue the use of SMS Alerts, an Account Holder can submit a written request to Ziaplex Inc. by sending an email to support@lionscare.ph.
10.6. The Account Holder hereby unconditionally agrees to absolve Ziaplex Inc. from any responsibility and undertakes to indemnify Ziaplex Inc. against all actions, claims, demands, liabilities, losses, damages, expenses, regardless of their nature, stemming from their acceptance of this section. Ziaplex Inc. will not be held accountable to the Account Holder for any actions taken based on SMS Alerts that appear to be from Ziaplex Inc. but do not originate from the official Lions Care SMS Alert number.
11. Exclusion from Liability
11.1. . Ziaplex Inc. does not provide any warranty, whether explicit or implied, concerning the performance or capabilities of the Service offered in this agreement.
11.2. The Service is provided on an "AS IS," "AS AVAILABLE" basis without any warranties, except for warranties that cannot be excluded, waived, or limited under the applicable laws in these Terms and Conditions. Without restricting the generality of the above statement, Ziaplex Inc. does not guarantee (1) the content, quality, or accuracy of data or information transmitted or received through the functionalities of the Lions Care service; (2) any service or product acquired through the Service functionalities of Lions Care; (3) the uninterrupted and error-free operation of the Service; or (4) that any specific results or information will be obtained when using Lions Care's Services.
11.3. Ziaplex Inc. will not be responsible for any losses, expenses, claims, damages, or liabilities incurred by the Account Holder or a third party, whether arising directly or indirectly from any or all of the following:
11.4. If Ziaplex Inc. declines to authorize service transactions or settlements within the Lions Care Service of the Account Holder, despite the presence of a sufficient balance limit, such decisions may be made for valid reasons, with the intent of safeguarding the Account Holder, Ziaplex Inc., or other impacted parties, and in accordance with relevant laws and policies.
11.5. Modifications or adjustment resulting from inaccurate, overlooked, or improperly directed credits to the Lions Care Account.
11.6. The Account Holder is incapable of initiating any transactions through phone services, online payments, or other transaction platforms due to the unavailability of the service, system, or network.
11.7. Any postponement, disruption, or cessation of the Service transaction, regardless of whether it results from administrative errors, technical issues, mechanical, electrical, or electronic malfunctions, or any other cause or situation beyond the control of Ziaplex Inc. This includes, but is not limited to, acts of nature, strikes, labor disputes, fires, disturbances, government actions, atmospheric conditions, lightning, third-party interference or damage, or alterations in legislation.
11.8. TThe theft or unauthorized utilization of the Lions Care account/card or Service, and any resulting expenses, losses, damages, or liabilities incurred by the Account Holder, as well as any instances where the Account Holder fails to utilize the Service for any reason whatsoever.
11.9. Any deceptive practices or fraudulent behavior by third parties, including but not limited to owners, staff, or representatives of Top-Up Centers
11.10. The potential compromise or disclosure of data when utilizing the Card, Account, and/or Service, encompassing, but not restricted to, Card/Account details and personal information.
12. Data Privacy Statement
12.1. The Account Holder agrees and binds himself to the Privacy Policy and Data Privacy Statement of Ziaplex Inc. found in this site: https://www.lionscare.ph/privacy.
13. Separability Clause
13.1. If any provision within this Agreement is deemed null, unlawful, or unenforceable in any manner under any applicable law, it shall not impact the validity, legality, or enforceability of the other provisions in this Agreement.
14. Amendments
14.1. Ziaplex reserves the right to modify, amend, or revise these Terms and Conditions at its discretion and without prior notice. The Account Holder acknowledges that the revised Terms and Conditions, when published on the Lions Care website, will serve as adequate notice. It is the responsibility of the Account Holder to regularly review any updates to these Terms and Conditions on www.lionscare.ph. By continuing to use the Lions Care service following any such revisions, the Account Holder signifies their acceptance of the new Terms and Conditions. If the Account Holder fails to notify Lions Care of their intent to terminate their account, this will be construed as their acceptance of the amended Terms and Conditions.
15. AGREEMENT
15.1. The Account Holder commits to abiding by the Terms and Conditions, Terms of Service, and the Privacy Policy that govern the issuance and utilization of the Lions Care service. In the event that the Account Holder does not concur with the Terms and Conditions, Terms of Service, or the Privacy Policy, the Account Holder is required to either physically cut their Lions Care Card (if applicable) or uninstall the Lions Care Application from their device (if applicable).
16. NOTICES
16.1. The notice procedures specified in these terms and conditions shall apply. If Ziaplex Inc. is obligated to provide you with a notice, it will employ various available means, such as In-App notifications, SMS, email, or registered mail, which will be directed to your registered address. Furthermore, the publication on the Lions Care website will also constitute appropriate notice, in accordance with the terms of this Agreement.
17. Customer Service
17.1. At Ziaplex Inc., we place great significance on our customers' financial inquiries, requirements, and feedback. If you have any questions regarding a process or have experienced an issue with our service, we will make every effort to resolve it within a 10-day timeframe. If the resolution of your concern necessitates more time, we will keep you informed at each stage of the process.

18. Permanent Deletion of Account
18.1. A request for permanent deletion remains reversible for up to 30 days from the initial request date. Beyond this 30-day window, both the user account and its associated data will be permanently removed, and any remaining points will be forfeited. No data retrieval will be possible thereafter.
The complete erasure of user-generated content may take as long as 90 days from the start of the deletion process.
Copies of a user's data could persist beyond this 90-day period in Ziaplex Inc.'s backup storage. These backups are maintained for disaster recovery, addressing software errors, data loss, and potential legal matters, term violations, or harm prevention efforts by Ziaplex Inc.
19. Disclaimer
19.1. Your use of the app and its services is undertaken at your own risk. The information, materials, and services available through the app are provided on an "as is" basis, without any warranties of any kind, including but not limited to warranties of merchantability, fitness for a specific purpose, or non-infringement of intellectual property rights. While we make every effort to offer the most accurate and current information, Ziaplex Inc. cannot guarantee the accuracy or completeness of the information, materials, or services provided through the app. Some of the information, materials, and services on the app may become outdated, and Ziapelx Inc. do not commit to updating such content. Please note that the limitations on implied warranties mentioned above may not apply to the extent prohibited by law.

21. Fraudulent or Suspicious Transactions
21.1. Ziaplex Inc. reserves the authority to suspend or deactivate your Lions Care Account and/or Card without the necessity of a court order or advance notice to the User if Ziaplex Inc. has a reasonable basis to suspect that your Lions Care Account is being used for fraudulent or suspicious transactions or by an unauthorized individual.
Pending Ziaplex Inc.'s examination of any such claim, the company retains the right to deduct from your Lions Care Account any and all sums linked to the gains of fraudulent or unlawful activities, which will be allocated to the aggrieved or otherwise affected Users.
The User is responsible for absolving Lions Care Group of any and all Claims that may arise from this section, unless the User can establish Ziaplex Inc.'s fault or negligence.
22. Consent
22.1. Consent provided by the User to a Ziapelx Inc. subsidiary or affiliate for any Lions Care Services that entail the use, processing, and/or disclosure of the User's Lions Care Account information shall be considered as consent granted to Ziaplex Inc.
